This End User License Agreement (“License Agreement”) is effective upon execution by and between The Edge Bio, a provider of AI solutions in the medical field operated by registered entities in the United Kingdom and Pakistan (“The Edge Bio”), and the Client identified in the Statement of Work (“Client”).
Client and The Edge Bio are each referred to as a “Party” and collectively as the “Parties.”
If the Client acquires Services (as defined below) via a Partner (defined below), this License Agreement will govern the relationship between the Client and The Edge Bio, regardless of terms set by the Partner.
BY SIGNING A STATEMENT OF WORK OR USING ANY SERVICE PROVIDED BY THE EDGE BIO, YOU AGREE TO BE BOUND BY THIS LICENSE AGREEMENT. IF YOU DO NOT AGREE, YOU MAY NOT ACCESS OR USE ANY SERVICE OFFERED BY THE EDGE BIO.
1. “Affiliates” means entities under common control or ownership with a Party.
2. “Authorized User” refers to individuals permitted by the Client to access and use the Services.
3. “Client” refers to the entity purchasing or using the Services, as listed in the SOW.
4. “Client Data” refers to any data provided by the Client to The Edge Bio through use of the Services.
5. “Facility” means Client locations where Services will be utilized.
6. “Fees” as defined in Section 5.1.
7. “License Agreement” means this full agreement and any annexes or attachments.
8. “Partner” means any authorized reseller or distributor of The Edge Bio’s services.
9. “Partner Contract” is the agreement authorizing such a Partner.
10. “Services” refers to AI-powered solutions for diagnostics, automation, and support in medical and healthcare environments delivered by The Edge Bio.
11. “Service Data” refers to anonymized or aggregated data captured from service use for performance improvement and analytics.
12. “Service Software” means any proprietary SaaS tool developed and owned by The Edge Bio, including AI diagnostic tools and automation modules.
13. “Subscription” grants the Client the right to access and use the Services as described in the SOW.
14. “Subscription Start Date” is the start date defined in the applicable SOW.
15. “Subscription Term” refers to the valid duration of service usage under an SOW.
16. “Statement of Work” or “SOW” defines the deliverables, pricing, and scope agreed between the Client and either The Edge Bio or an authorized Partner.
This License Agreement defines the terms under which The Edge Bio provides Services to the Client, as outlined in the applicable SOW.
This Agreement begins on the Effective Date and remains valid until all active SOWs have expired or are terminated in accordance with these terms.
4.1. License Grant The Edge Bio grants the Client a limited, non-exclusive, non-transferable license to access and use the Services as described in the SOW.
4.2. Ownership & Feedback The Edge Bio retains all rights to the software, technology, data, and improvements. Any client feedback may be freely used by The Edge Bio without obligation or compensation.
5.1. Fees The Client agrees to pay fees as specified in the SOW.
5.2. Payment Terms Payment timelines and methods will be defined in the applicable SOW.
6.1. Term & Renewal This Agreement continues through the Subscription Term of each SOW unless terminated earlier.
6.2. Termination for Convenience Either party may terminate with 30 days’ written notice.
7.1. Disclaimer The Edge Bio provides services “as-is” without warranties unless explicitly stated.
7.2. Client Warranty The Client warrants that they are legally authorized to enter this Agreement.
Neither party shall be liable for indirect or consequential damages, even if previously advised of such potential losses.
Each party agrees to maintain the confidentiality of proprietary information shared during the course of this Agreement.
10.1. Governing Law This Agreement is governed by the laws of the State of New York, USA.
10.2. Entire Agreement This document and any SOWs constitute the full agreement between the Parties.
10.3. Amendments Any changes must be in writing and signed by both parties.
